1. Agreement to Terms

Welcome to Pinable. These Terms of Service ("Terms") govern your access to and use of our store locator platform, including our website at pinable.app, dashboard, APIs, and embeddable map widgets (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Pinable provides a cloud-based platform for creating, managing, and embedding interactive store locator maps. Our Service includes:

  • Interactive Locator Maps: Customizable, embeddable maps displaying your business locations with search, filtering, and directions functionality.
  • Hours Management: Tools for managing store hours, including blueprints, holiday schedules, and real-time open/closed status.
  • Analytics Dashboard: Insights into map usage, search behavior, location engagement, and demand patterns.
  • Lead Capture: Zero-results capture feature to collect leads from areas not yet served.
  • Location Management: Tools for adding, editing, and organizing your business locations.
  • Custom Branding: Options to customize map appearance to match your brand.

3. Account Registration

To use the Service, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your login credentials secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that violate these Terms or contain false information.

4. Subscription Plans and Payment

4.1 Plans and Pricing

Pinable offers various subscription plans with different features and limits. Current pricing and plan details are available on our pricing page. We reserve the right to modify pricing with 30 days' notice to existing subscribers.

4.2 Beta Program

During our beta period, users may access premium features at no cost. Beta access is provided "as is" and may be modified or terminated at any time. Beta users will be notified before the beta period ends and given the opportunity to subscribe to a paid plan.

4.3 Payment Terms

  • Subscriptions are billed monthly or annually in advance
  • Payment is processed securely through Stripe
  • All fees are non-refundable unless otherwise stated
  • You are responsible for all applicable taxes
  • Failed payments may result in service suspension

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access until the end of your current billing period. Your data will be retained for 30 days after cancellation, after which it may be permanently deleted.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Violate any applicable laws, regulations, or third-party rights
  • Upload false, misleading, or inaccurate location information
  • Use the Service for spam, phishing, or fraudulent activities
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service's integrity or performance
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated systems to scrape or extract data from the Service
  • Resell or redistribute the Service without authorization
  • Use the Service to collect sensitive personal data without proper consent
  • Upload content that is illegal, harmful, threatening, or infringes on intellectual property rights

6. Your Content and Data

6.1 Ownership

You retain all ownership rights to the content and data you upload to the Service, including location information, business details, and branding assets ("Your Content").

6.2 License to Pinable

By uploading Your Content, you grant Pinable a non-exclusive, worldwide, royalty-free license to use, host, store, reproduce, modify, and display Your Content solely for the purpose of providing and improving the Service.

6.3 Public Display

Location information displayed on your embedded maps is publicly accessible. You are responsible for ensuring you have the right to publish any content you add to the Service.

6.4 Lead Capture Data

Data collected through the Zero Results Lead Capture feature belongs to you. You are responsible for complying with applicable privacy laws (including GDPR, CCPA) when using this data.

7. Intellectual Property

The Service, including its design, features, code, documentation, and trademarks, is owned by Pinable and protected by intellectual property laws. These Terms do not grant you any rights to use our trademarks, logos, or brand features without prior written consent.

The Pinable name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Pinable. You must not use such marks without our prior written permission.

8. Third-Party Services and Integrations

The Service integrates with third-party services including:

  • OpenStreetMap: For map rendering and geocoding
  • Google: For OAuth authentication
  • Stripe: For payment processing

Your use of these services is subject to their respective terms and conditions. We are not responsible for the actions or content of third-party services.

9. API Usage

If your plan includes API access, the following additional terms apply:

  • API keys must be kept confidential and not shared publicly
  • Rate limits apply based on your subscription plan
  • API access may be suspended if abuse is detected
  • We may modify the API with reasonable notice
  • You must comply with our API documentation and best practices

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure
  • Defects will be corrected
  • Map data from third parties will be accurate or up-to-date
  • The Service will meet your specific requirements

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PINABLE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Pinable and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive your right to a jury trial and to participate in class action lawsuits.

16. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Pinable regarding the Service.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
  • Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • Force Majeure: We shall not be liable for any failure to perform due to circumstances beyond our reasonable control.
